Terms and Conditions

WHOLESALE TRADE ONLY. These Terms and Conditions govern wholesale orders placed through www.pridescorner.com, operated by Prides Corner Farms, Inc. ("us", "we", or "our"), a Connecticut corporation. These terms are for the nursery and landscape trade only. By placing an order, you agree to be bound by these Terms.

1. WHOLESALE TRADE ONLY

These prices and services are for the nursery and landscape trade only. Retail consumers may not place orders through this website. To locate a retail garden center that carries our products, please use the retailer locator on our website.

2. PAYMENT TERMS

2.1 Credit Requirements. All sales are C.O.D. (cash on delivery) unless satisfactory credit arrangements have been made with us prior to pick-up or delivery of an order. Credit applications will be treated as C.O.D. until your application has been approved. Credit approval can take 2-4 weeks.
2.2 Past Due Accounts. Past due accounts will be subject to a service charge of 1.5% per month (18% per annum). We reserve the right to suspend credit privileges for any account with outstanding past due balances.
2.3 Volume Discounts. To receive volume discounts, all invoices must be paid in full within your payment terms. Failure to pay within terms will result in forfeiture of the discount.

3. SALES TAX

For all purchases, we must have a valid state or federal sales tax exemption certificate on file or sales tax will be charged. It is the customer's responsibility to provide and maintain current exemption certificates.

4. PRICING

4.1 FOB Lebanon, Connecticut. All prices are FOB (Free On Board) Lebanon, Connecticut, unless otherwise stated. Title and risk of loss pass to buyer at our Lebanon, Connecticut location.
4.2 Subject to Change. Prices are subject to change without prior notice. The price in effect at the time of order acceptance will apply.
4.3 Tiered Pricing. Container sizes are broken into quantity tiers. As quantity increases, unit price decreases. This structure covers the cost of pulling small orders from our extensive inventory. Our pricing remains competitive and focused on providing the best value for service and price.

5. SPECIAL ORDERS

We stock a wide variety of trees and shrubs and have access to additional plants from quality growers nationwide. Special orders may require a nonrefundable deposit at the time of ordering. Contact us with your plant needs and our buying team will locate and quote non-listed items. Special orders are subject to availability from our supplier network and cannot be cancelled once placed with the grower.

6. TAGGING POLICY

6.1 Authorization. Tagging of plant material is encouraged. Plant material must be tagged by an authorized Prides Corner Farms employee to ensure proper tagging protocol is maintained. Customer tagging is not permitted.
6.2 Holding Period. Tagged material will be held for 30 days at no cost. Material requiring holds longer than 30 days will require a 50% nonrefundable deposit and can be held until an agreed upon date. We are not responsible for plant condition changes during extended hold periods.

7. WARRANTY AND RETURNS

7.1 NO WARRANTY. WE ISSUE NO WARRANTY, WRITTEN OR IMPLIED, FOR STOCK THAT LEAVES OUR YARD. We have no control over the maintenance, handling, planting, or care practices applied to these perishable materials after they leave our facility. This includes but is not limited to any implied warranties of merchantability or fitness for a particular purpose.
7.2 Inspection Required. All customers are responsible for thoroughly examining stock upon purchase and/or arrival of deliveries. Any claims regarding plant quality, size, variety, or condition must be made at the time of purchase or delivery. No claims will be accepted after plant material leaves our facility.
7.3 ALL SALES ARE FINAL. No returns, exchanges, or credits will be accepted after plant material leaves our yard. This policy protects our nursery stock from potential disease and pest introduction.

8. PLANT PATENTS AND INTELLECTUAL PROPERTY

8.1 Patented Plant Varieties. Many plants we sell are patented varieties protected under the Plant Patent Act (35 U.S.C. § 161) or the Plant Variety Protection Act (7 U.S.C. § 2321). Unauthorized asexual reproduction, propagation, or distribution of patented plants is a federal crime and subjects the violator to substantial civil damages and criminal penalties.
8.2 Trademarks. Plant variety names, branded programs, and trademarks remain the property of their respective owners. Use of such marks without authorization is prohibited.
8.3 Website Content. The website and its content are the exclusive property of Prides Corner Farms, Inc. and its licensors. Our trademarks may not be used without our prior written consent.

9. FORCE MAJEURE

We are not liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God; fire, flood, earthquake, or other natural disasters; severe weather conditions; crop failures; plant diseases or pest infestations; government orders, restrictions, or regulations; labor disputes; transportation delays; supplier failures; or any other cause beyond our reasonable control. In such events, our performance obligations will be suspended for the duration of the force majeure event.

10. DISCLAIMERS

THE WEBSITE AND ALL PLANT MATERIAL ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PLANT MATERIAL WILL SURVIVE, ESTABLISH, GROW, OR PERFORM IN ANY PARTICULAR MANNER.
PRIDES CORNER FARMS, INC. DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. LIMITATION OF LIABILITY

IN NO EVENT SHALL PRIDES CORNER FARMS, INC., NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE SALE OR USE OF PLANT MATERIAL OR THE USE OF THIS WEBSITE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, PROJECT DELAYS, DAMAGE TO OTHER PLANTS OR PROPERTY, OR LOSS OF BUSINESS OPPORTUNITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SALE OF PLANT MATERIAL IS LIMITED TO THE PURCHASE PRICE OF THE SPECIFIC PLANT MATERIAL AT ISSUE. This limitation applies regardless of the legal theory asserted, whether in contract, tort, negligence, strict liability, or otherwise.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Prides Corner Farms, Inc. and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the plant material; (b) your violation of these Terms; (c) your violation of any third-party rights, including plant patents or trademarks; or (d) any negligent or wrongful conduct in connection with the plant material.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
13.2 Jurisdiction and Venue. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Connecticut. The parties hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
13.3 Attorneys' Fees. In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.

14. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

15. WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Prides Corner Farms, Inc.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Prides Corner Farms, Inc. concerning your use of the website and purchase of plant material, and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written. No amendment or modification of these Terms shall be binding unless in writing and signed by an authorized representative of Prides Corner Farms, Inc.

17. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website or placement of orders after changes are posted constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.
